Terms & Conditions

"Platform" refers to Splash Social, an AI-powered social media marketing platform. "MTPL" refers to Medvarsity Technologies Pvt. Ltd., the operator. "Organization" refers to the healthcare entity subscribing to the Platform. "User" refers to any individual authorized by an Organization to access the Platform. "Entity" refers to a distinct location, brand, or department within an Organization. "Content" refers to social media posts, images, captions, and other materials generated or managed through the Platform. "Compliance Framework" refers to the MTPL-managed healthcare advertising rules applied to all Content.

By accessing or using Splash Social, you agree to these Terms on behalf of your Organization. If you do not agree, do not use the Platform. Your Organization's administrator accepting these Terms binds all authorized Users within the Organization.

Splash Social provides AI-powered content generation, compliance review, approval workflows, scheduling, and publishing for healthcare organizations' social media channels. The Platform uses artificial intelligence (including Anthropic Claude, Google Gemini, and optionally user-provided AI services) to generate and review content. AI-generated content requires human review and approval before publishing. MTPL does not guarantee that AI-generated content is free from errors, and Organizations are responsible for final review before publication.

4.1 Pricing: ₹1,00,000 per entity per month (standard tier). Custom enterprise pricing available.

4.2 AI Token Costs: AI API usage is charged at actual cost plus a 3% MTPL service margin. Organizations using their own API keys (BYO-AI) are billed directly by their AI provider with no MTPL margin.

4.3 Free Trial: New organizations receive a 30-day free trial. Trial may be extended once by MTPL at its sole discretion. After trial expiry, the account enters read-only mode (can view and export data but cannot create or publish content).

4.4 Payment: Subscriptions are prepaid. Invoices are generated monthly. Payment is due within 15 days of invoice date. Late payments may result in account restriction after 30 days and suspension after 60 days.

4.5 Refunds: No refunds for partial months. If MTPL terminates your account without cause, unused prepaid amounts will be refunded within 30 business days.

5.1 Platform Rules:All content generated through Splash Social is automatically evaluated against the MTPL Compliance Framework — a set of 22+ rules based on Indian healthcare advertising regulations (MCI Regulations, ASCI Code, Drugs & Cosmetics Act, IT Act, Consumer Protection Act).

5.2 Rule Customization: Organization Admins may customize certain compliance rules (deactivate, modify severity, or adjust parameters). Any customization requires a formal disclaimer acceptance and digital sign-off.

5.3 Liability Transfer: WHEN AN ORGANIZATION DEACTIVATES OR MODIFIES AN MTPL COMPLIANCE RULE, FULL REGULATORY LIABILITY FOR CONTENT THAT WOULD HAVE BEEN FLAGGED BY THAT RULE TRANSFERS TO THE ORGANIZATION. MTPL assumes no responsibility for compliance violations arising from deactivated or modified rules. This transfer is documented in an immutable audit trail.

5.4 No Legal Advice: The Compliance Framework is a technology tool, not legal advice. Organizations should consult qualified legal counsel for regulatory compliance. MTPL does not warrant that compliance with the Framework constitutes full regulatory compliance.

6.1 Your Content: Organizations retain full ownership of content they create, upload, or publish through the Platform. This includes brand guidelines, uploaded documents, and published social media content.

6.2 AI-Generated Content: Content generated by AI agents is created specifically for your Organization and is your intellectual property once generated. MTPL does not claim ownership of AI-generated content.

6.3 Platform License: You grant MTPL a limited license to process, store, and transmit your content as necessary to operate the Platform. This license terminates when your account is closed.

6.4 MTPL IP:The Platform, its design, algorithms, compliance rules, and documentation are the intellectual property of MTPL. No license to MTPL's IP is granted beyond the right to use the Platform as a subscriber.

Data handling is governed by our Privacy Policy. MTPL processes data as a "data processor" on behalf of Organizations (the "data controllers") under the DPDP Act 2023. Each entity's data is isolated in a separate database schema. MTPL will notify Organizations of any data breach within 72 hours of discovery.

You agree NOT to: Use the Platform to generate content that violates Indian law. Attempt to bypass compliance checks or publish non-reviewed content. Share login credentials or allow unauthorized access. Use the Platform for any organization not registered on the account. Reverse-engineer, decompile, or extract the Platform's algorithms. Use the Platform to collect personal health information without proper consent. Resell, sublicense, or white-label the Platform without written agreement from MTPL.

MTPL targets 99.5% monthly uptime for the Platform. Scheduled maintenance windows will be communicated 48 hours in advance. MTPL is not liable for downtime caused by third-party service failures (AI providers, social media platforms, cloud infrastructure).

TO THE MAXIMUM EXTENT PERMITTED BY LAW: MTPL'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE ORGANIZATION IN THE 3 MONTHS PRECEDING THE CLAIM. MTPL IS NOT LIABLE FOR: indirect, incidental, consequential, or punitive damages; loss of revenue, data, or business opportunities; regulatory fines arising from content published after Organization approval; compliance violations arising from Organization-customized rules; third-party service failures (AI providers, social platforms).

Organizations agree to indemnify MTPL against claims arising from: content published through the Platform after Organization approval, customization or deactivation of compliance rules, violation of healthcare advertising regulations in published content, and unauthorized use of the Platform by Organization's users.

By Organization: You may cancel your subscription at any time. Access continues until the end of the paid period. Content can be exported (ZIP download) for 90 days after cancellation.

By MTPL: MTPL may suspend or terminate accounts for: violation of these Terms, non-payment after 60 days, fraudulent or illegal use, extended inactivity (12+ months).

Effect: Upon termination, access is revoked. Data is retained for 90 days (for export), then permanently deleted. Audit logs are retained for 3 years per regulatory requirements.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana. Before litigation, parties agree to attempt good-faith mediation for 30 days.

MTPL may modify these Terms with 30 days notice to registered Organization Admins via email. Material changes (pricing, liability, data handling) require explicit re-acceptance. Continued use after the notice period constitutes acceptance.
